Agreement To These Terms
These Terms of Service govern your access to and use of Iron Ladder, including its iPhone application, Apple Watch application, widgets, website, profiles, social feed, leaderboards, classes, challenges, workout and nutrition features, artificial intelligence features, subscriptions, and all related services collectively referred to as the “Service.”
These Terms are an agreement between you and Iron Ladder LLC, a New York limited liability company.
Iron Ladder is operated by Iron Ladder LLC.
In these Terms, “Iron Ladder,” “we,” “us,” and “our” refer to Iron Ladder LLC.
By creating an account, purchasing a subscription, clicking or tapping an acceptance control, or otherwise using the Service, you agree to these Terms and acknowledge the Iron Ladder Privacy Policy.
If you do not agree, do not access or use the Service.
Ownership Of Iron Ladder Branding And Materials
Iron Ladder and the materials associated with the Service are owned by Iron Ladder LLC or the applicable licensors.
Iron Ladder materials include:
* The Iron Ladder™ name. * The Iron Ladder™ logo and related logos. * The Iron Ladder Gold™ name. * The slogan “Climb Higher. Lift Smarter.™” * App icons, badges, symbols, graphics, illustrations, artwork, photographs, videos, animations, and promotional materials. * Screenshots, interfaces, layouts, visual designs, color arrangements, and the overall presentation of the Service. * Written content, exercise information, workout templates, descriptions, databases, compilations, software, source code, object code, algorithms, features, and functionality. * Other branding, proprietary materials, and original creative works associated with Iron Ladder.
Collectively, these are the “Iron Ladder Materials.”
Iron Ladder Materials can be protected by copyright, trademark, trade dress, unfair competition, contract, and other intellectual-property laws regardless of whether a particular copyright, trademark, or other right has been formally registered.
Your use of Iron Ladder does not transfer ownership of Iron Ladder Materials to you.
Except for the limited license expressly provided by these Terms, no license or right is granted by implication, estoppel, or otherwise.
Without prior written permission from Iron Ladder, you may not:
* Copy, reproduce, republish, modify, distribute, sell, license, sublicense, or create derivative works from Iron Ladder Materials except where applicable law expressly permits the use. * Use Iron Ladder Materials in another application, website, service, product, business, advertisement, merchandise, or commercial project. * Scrape, mirror, frame, systematically download, extract, or republish Iron Ladder Materials. * Copy or imitate Iron Ladder’s branding, badges, icons, graphics, interface, visual appearance, or distinctive design elements in a manner likely to confuse. * Use Iron Ladder Materials to create, market, train, test, benchmark, or improve a competing product or service. * Use Iron Ladder Materials as a dataset or training input for an artificial-intelligence or machine-learning system without written authorization. * Remove or alter a copyright, trademark, attribution, watermark, or proprietary notice. * Use Iron Ladder, Iron Ladder Gold, Climb Higher. Lift Smarter, or a confusingly similar name, logo, slogan, username, domain, application name, business name, or social-media identifier in a manner that suggests sponsorship, affiliation, endorsement, or ownership. * Attempt to register or claim ownership of an Iron Ladder name, logo, slogan, design, domain name, application name, social-media identifier, or other brand identifier. * Assist another person in doing any of the above.
You can use sharing functionality intentionally provided by Iron Ladder to share eligible content in the manner permitted by that functionality.
Nothing in this section prohibits lawful criticism, commentary, news reporting, nominative reference, fair use, or another use protected by applicable law.
Eligibility
Iron Ladder is not intended for children under 13.
You can create an account only if:
* You are at least 13 years old. * You meet any higher minimum age required by applicable law where you live. * You have the legal capacity to use the Service. * You are legally permitted to use the Service.
If you are under the age of legal majority where you live, you can use Iron Ladder only with the permission and supervision of a parent or legal guardian where required by law.
A parent or legal guardian who permits a minor to use the Service is responsible for the minor’s use to the extent permitted by law.
If you use Iron Ladder on behalf of a business, gym, team, organization, or other entity, you represent that you have authority to bind that entity to applicable terms.
Account Registration And Security
You must provide accurate and current account information.
You are responsible for:
* Protecting your password and authentication credentials. * Maintaining control of your registered email account and devices. * Promptly notifying Iron Ladder of suspected unauthorized access. * Activity occurring through your account except to the extent caused by Iron Ladder’s violation of applicable legal obligations.
You may not:
* Impersonate another person or organization. * Create fraudulent, misleading, or deceptive accounts. * Falsely claim credentials, sponsorships, affiliations, competition status, ownership, or professional qualifications. * Sell, rent, transfer, or share your account. * Access another person’s account without authorization. * Circumvent a suspension, ban, subscription restriction, or technical control. * Use automated accounts, bots, scripts, or fake activity to manipulate Iron Ladder. * Submit false verification information.
We can request information reasonably necessary to verify an account, identity, professional qualification, organization, or other claim made through the Service.
Fitness, Health, And Medical Disclaimer
Iron Ladder is a fitness tracking, informational, and community application.
Iron Ladder is not:
* A medical device. * A healthcare provider. * A doctor. * A registered dietitian. * A physical therapist. * An emergency medical service. * A substitute for professional medical advice, diagnosis, treatment, or rehabilitation.
Nothing provided through Iron Ladder establishes a doctor-patient, therapist-patient, dietitian-patient, trainer-client, fiduciary, or other professional relationship between you and Iron Ladder.
Before beginning or substantially changing a workout, nutrition, fasting, supplement, weight-management, or wellness program, consider consulting an appropriately qualified healthcare professional.
This is especially important if you:
* Have a medical condition. * Have an injury or disability. * Are pregnant or may be pregnant. * Take medication. * Have a history of heart, respiratory, neurological, or metabolic conditions. * Have a history of disordered eating. * Are recovering from surgery, illness, or medical treatment. * Have been told to restrict physical activity.
You are responsible for determining whether an activity is appropriate for you.
Stop exercising and seek appropriate assistance if you experience concerning symptoms such as severe pain, fainting, chest discomfort, unusual shortness of breath, loss of coordination, or other symptoms requiring attention.
Do not delay seeking professional medical assistance because of information presented by Iron Ladder.
Iron Ladder is not monitored as an emergency service.
If you believe an emergency exists, contact the emergency services available where you are located.
Health And Nutrition Estimates
Calorie, macronutrient, hydration, recovery, body-composition, training-load, and similar figures shown by Iron Ladder can be estimates.
These estimates can depend on:
* Published formulas. * Public-health guidance. * Information you provide. * Information imported with your permission. * Assumptions inherent in the applicable calculation.
The formulas and health or nutrition sources used by applicable features are identified in the app under Settings > Privacy > Health & Nutrition Sources and, where applicable, next to screens displaying those calculations.
Estimates are not medical measurements and should not be used to diagnose or treat a medical condition.
Iron Ladder does not guarantee that a calorie, body-composition, nutrition, recovery, hydration, or fitness estimate is correct for a particular individual.
Tracking Does Not Mean Endorsement
Iron Ladder lets you record, organize, calculate, display, analyze, compare, and share information about activities and choices you make.
The fact that Iron Ladder allows you to track or display an activity, exercise, workout, weight, personal record, nutrition entry, meal, calorie amount, macronutrient amount, water intake, fasting period, supplement use, creatine use, body measurement, bodyweight, progress photograph, outdoor route, training volume, class, challenge, or other information does not mean that Iron Ladder recommends, approves, endorses, encourages, discourages, or considers that activity or choice safe or appropriate for you.
The availability of a tracking category or feature does not mean that Iron Ladder is instructing you to engage in the activity represented by that category.
You decide what activities to perform, what products or substances to use or consume, what information to record, and what personal goals to pursue.
Features that display statistics, streaks, achievements, personal records, leaderboards, rankings, progress, reminders, trends, comparisons, goals, targets, or similar information are provided for tracking, organizational, social, and informational purposes.
Those features are not instructions to begin, continue, increase, decrease, repeat, intensify, restrict, or stop any particular activity, diet, fasting practice, supplement use, training method, or other behavior.
A badge, streak, ranking, personal record, notification, progress indicator, or other feature does not mean that continuing or increasing the underlying activity is safe or appropriate.
Where Iron Ladder provides an expressly identified suggestion, recommendation, calculation, generated plan, or AI-generated result, that output remains subject to the fitness, health, medical, nutrition, and artificial-intelligence disclaimers in these Terms.
You remain responsible for deciding whether to follow any suggestion or output.
Nothing shown, recorded, calculated, ranked, highlighted, rewarded, analyzed, generated, or made available through Iron Ladder should be understood as a determination that an activity, product, substance, diet, fasting practice, workout, exercise, training load, bodyweight goal, or other choice is medically appropriate, safe, necessary, or advisable for you.
Outdoor Run And Bike Ride Tracking
Iron Ladder provides Outdoor Run and Outdoor Bike Ride tracking.
When you start one of those sessions and allow location access, Iron Ladder uses precise GPS information to record your route and calculate workout information such as:
* Distance. * Duration. * Pace. * Elevation gain.
Location recording can continue while your screen is off or Iron Ladder is in the background during the session you started.
The privacy practices for location information are described in the Iron Ladder Privacy Policy.
GPS measurements and derived workout statistics can be affected by device conditions, signal quality, terrain, system settings, and other technical factors.
Do not rely on Iron Ladder route tracking as an emergency, personal-safety, or navigation service.
You remain responsible for choosing a safe route, following applicable traffic and access rules, and paying attention to your surroundings.
Assumption Of Fitness Risks
Exercise and fitness activities involve inherent risks.
Possible risks include:
* Muscle soreness. * Strains and sprains. * Fractures. * Falls. * Overexertion. * Dehydration. * Fainting. * Equipment-related injuries. * Serious injury. * Permanent disability. * Death. * Property damage.
To the fullest extent permitted by applicable law, you voluntarily assume the risks associated with fitness activities that you choose to perform, whether or not those activities were recorded, displayed, suggested, discussed, or tracked through Iron Ladder.
You are responsible for:
* Selecting appropriate exercises and resistance. * Using proper technique. * Using appropriate supervision when necessary. * Inspecting equipment. * Using appropriate safety equipment. * Choosing an appropriate environment. * Deciding whether to participate in a class, challenge, workout, or other activity.
Nothing in these Terms excludes liability that applicable law does not permit Iron Ladder to exclude.
No Guaranteed Results
Iron Ladder does not guarantee:
* Weight loss. * Weight gain. * Muscle gain. * Increased strength. * Improved athletic performance. * Improved health. * Particular body-composition results. * A particular physical appearance. * Competition results. * Any other fitness or health outcome.
Results differ between individuals.
Posts, testimonials, statistics, examples, personal records, leaderboard results, and progress photographs do not guarantee similar results for another user.
Artificial Intelligence Features
Iron Ladder contains features powered by artificial intelligence.
Iron Ladder’s AI processing is not performed entirely on your device.
When you choose to use an applicable AI feature and have granted the required permission, your selected inputs are sent to Iron Ladder’s server and then forwarded to Anthropic PBC through the Claude API to generate the requested result.
The types of information that can be provided to Anthropic and the controls available to you are described in the Iron Ladder Privacy Policy.
Precise GPS location and recorded workout routes are not sent to Anthropic.
Iron Ladder requests explicit permission before your first third-party AI request.
You can withdraw that permission through:
Settings > Privacy > AI & Your Data
If permission is not granted or is later disabled, third-party AI features requiring that processing remain unavailable and new requests are not sent to Anthropic.
AI-generated results can be:
* Incorrect. * Incomplete. * Misleading. * Inconsistent. * Outdated. * Inappropriate for your individual circumstances.
AI features can misunderstand:
* Photographs. * Video frames. * Workout history. * Training volume. * Exercise technique. * Body measurements. * Nutrition information. * Fitness goals. * Injuries. * Health information. * Free-text instructions.
AI outputs are informational and are not medical, nutritional, legal, financial, or other professional advice.
You remain responsible for decisions you make based on an AI output.
Do not use an AI result as the sole basis for a decision that could materially affect your health or safety.
Apple Health And HealthKit
Iron Ladder accesses certain Apple Health information only when you expressly authorize it.
The Iron Ladder iPhone application reads authorized workout-history information and applicable workout metrics.
The Iron Ladder Apple Watch application writes workouts that you record through the Watch application so those workouts can appear in applicable Activity and Health history.
The privacy practices relating to Apple Health and HealthKit are described in the Privacy Policy.
You remain responsible for reviewing and managing the permissions you grant through Apple’s health-permission controls.
Fitness information imported into Iron Ladder can become part of your ordinary Iron Ladder workout history and can affect calculations, statistics, training volume, and features you choose to invoke.
Community And Social Features
Iron Ladder contains user-generated content and social features.
These can include:
* User profiles. * Posts. * Photographs. * Videos. * Comments. * Likes and reactions. * Following. * Leaderboards. * Classes. * Challenges. * Rankings. * Other community activity.
You are responsible for your conduct and User Content.
You may not post, upload, transmit, or otherwise use Iron Ladder to distribute content that:
* Is unlawful. * Threatens, stalks, harasses, bullies, intimidates, or abuses another person. * Encourages violence or credible physical harm. * Promotes terrorism or criminal activity. * Exploits or sexually depicts a child. * Constitutes or promotes child sexual abuse material. * Contains nonconsensual intimate imagery. * Contains intimate imagery altered or generated to falsely depict another person. * Encourages self-harm or dangerous activity. * Encourages eating disorders or other seriously harmful conduct. * Reveals another person’s private, confidential, medical, financial, identifying, or location information without authorization. * Infringes copyright, trademark, publicity, privacy, or other legal rights. * Contains fraud, phishing, scams, impersonation, or deceptive commercial practices. * Contains malware or malicious code. * Is spam. * Is designed to manipulate rankings, engagement, subscriptions, referrals, verification systems, or other Service features. * Otherwise violates these Terms or applicable law.
User-Generated Content Moderation
Iron Ladder provides:
* Automated filtering intended to identify objectionable content. * A method for users to report content. * A method for users to block other users. * Contact information through which users can reach Iron Ladder. * Administrative moderation tools.
Reports of content that can violate these Terms will be reviewed within 24 hours of receipt.
Where appropriate, we can:
* Remove content. * Restrict content visibility. * Issue a warning. * Restrict features. * Suspend an account. * Terminate an account. * Preserve records. * Escalate a safety matter. * Report conduct to appropriate authorities where required or permitted by law.
A 24-hour review commitment does not necessarily mean that every investigation will be completely resolved within 24 hours.
Complex investigations can require additional time, but immediate protective action can be taken where appropriate.
Automated moderation can make mistakes.
Iron Ladder does not guarantee that every prohibited item will be detected before publication or immediately after publication.
Nonconsensual Intimate Images
Iron Ladder prohibits the posting or distribution of nonconsensual intimate images, including qualifying digitally altered or AI-generated intimate depictions.
Where applicable law requires it, Iron Ladder provides a process through which an affected person or authorized representative can request removal of qualifying nonconsensual intimate imagery.
Upon receipt of a valid removal request covered by applicable law, Iron Ladder removes qualifying content and known identical copies within the period required by law.
Nothing in this section limits faster removal when necessary for user safety or legal compliance.
Child Safety
Content depicting or facilitating sexual exploitation of children is strictly prohibited.
Iron Ladder can preserve and report apparent child sexual exploitation information when required by law.
Accounts can be immediately suspended or terminated where child safety is implicated.
Do not use Iron Ladder as an emergency reporting system.
Contact appropriate emergency or law-enforcement authorities where immediate danger exists.
User Content
“User Content” means content or information you submit, upload, create, display, or transmit through Iron Ladder.
This includes:
* Profile information. * Photographs. * Videos. * Posts. * Comments. * Workout information. * Statistics. * Verification materials. * Reports. * Other user-submitted material.
You retain whatever ownership rights you lawfully hold in your User Content.
You represent that:
* You own your User Content or possess the rights necessary to submit it. * You have permission from identifiable persons where required. * Your submission does not violate another person’s intellectual property, privacy, publicity, contractual, or other rights. * Your submission complies with applicable law.
License To User Content
By submitting User Content, you grant Iron Ladder LLC a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, process, resize, format, transmit, display, distribute, moderate, and otherwise use the User Content as reasonably necessary to:
* Operate the Service. * Display the content as directed by your settings and actions. * Provide features you request. * Perform moderation. * Maintain security. * Investigate abuse or safety issues. * Respond to reports and appeals. * Enforce these Terms. * Comply with applicable law. * Establish, exercise, or defend legal claims.
For content you intentionally make public, this license also permits Iron Ladder to display and promote that public content in connection with the operation and promotion of Iron Ladder, subject to applicable law.
This license can continue after deletion only to the extent reasonably necessary for:
* Backups. * Legal obligations. * Fraud prevention. * Safety investigations. * Moderation records. * Evidence preservation. * Content already lawfully shared with another user. * Establishing, exercising, or defending legal rights.
The separate deletion rules for precise GPS fixes in the Privacy Policy continue to apply.
Public Content
Content you make public can be seen by others.
Other people can:
* Screenshot it. * Record it. * Download it. * Copy it. * Redistribute it.
Iron Ladder cannot control copies made by third parties after content has been made available to them.
Do not make information public unless you accept that risk.
A normal social-feed post for an Outdoor Run or Outdoor Bike Ride does not publish your GPS coordinates or stored route map.
If you choose to create and share a route sticker image, other people can see and preserve the route shown in that image.
Deleted Content And Moderation Archives
A deleted post can be removed from ordinary user-facing areas while certain information is preserved in a restricted moderation archive for legitimate safety, legal, fraud-prevention, or abuse-investigation purposes.
Preserved information can include:
* Captions. * Media references. * Metadata. * Reports. * Moderation decisions. * AI-generated image descriptions. * Related safety information.
Restricted moderation archives are not intended for ordinary public display.
Precise GPS fixes attached to a deleted workout are not preserved in this moderation archive.
Verification
Iron Ladder can offer verification badges or account verification.
Verification does not constitute:
* An endorsement. * A recommendation. * A background check. * A guarantee of qualifications. * A guarantee of licensing. * A guarantee of identity beyond the verification steps actually performed. * A guarantee of future conduct. * A guarantee that information will remain current.
Iron Ladder can deny, revoke, or require renewed verification.
Trainers, Gyms, Coaches, Athletes, And Other Third Parties
Unless expressly stated otherwise, users, trainers, gyms, coaches, athletes, businesses, brands, instructors, and other third parties appearing through Iron Ladder are independent third parties.
Iron Ladder does not guarantee:
* Their qualifications. * Their licensing. * Their insurance. * Their identity. * Their safety. * Their conduct. * Their facilities. * Their equipment. * Their services. * Their statements.
You are responsible for deciding whether to interact, train, transact, or meet with another person.
Leaderboards And Challenges
Leaderboards, achievements, rankings, challenges, badges, and personal records are motivational and informational features unless separate official rules state otherwise.
Iron Ladder can correct, modify, reset, or remove information affected by:
* Errors. * Missing data. * Duplicate data. * Fraud. * Cheating. * Automation. * Manipulation. * Unsafe behavior. * Violations of these Terms.
Do not perform unsafe activity to obtain a ranking, badge, streak, personal record, or reward.
The existence of a leaderboard, challenge, achievement, badge, streak, or personal record does not mean that Iron Ladder encourages you to perform an activity beyond what is safe or appropriate for you.
You are responsible for deciding whether and how to participate.
Subscriptions
Paid features can be offered through auto-renewable subscriptions, including Iron Ladder Gold™.
Purchases through Apple are processed through Apple.
Unless applicable law requires otherwise:
* Subscriptions renew automatically until canceled. * Subscription pricing and renewal information is shown through the purchase process. * You must manage or cancel an Apple subscription through the applicable Apple subscription-management system. * Deleting Iron Ladder does not cancel an Apple subscription. * Deleting your Iron Ladder account does not automatically cancel your Apple subscription. * Cancellation generally prevents the next renewal and does not create a retroactive refund. * Access generally continues until the end of the paid period. * Apple controls eligible App Store refunds for purchases it processed.
Any mandatory refund or cancellation right under applicable law remains unaffected.
Free Trials, Referrals, And Promotions
Trials, discounts, promotional offers, and referral benefits can have separate eligibility requirements.
Iron Ladder can:
* Restrict an offer to eligible users. * Limit an offer to one use per person, account, device, household, payment account, or other reasonable identifier. * Revoke benefits obtained through fraud or manipulation. * Correct errors. * Modify or terminate a promotion as permitted by applicable law.
Promotional benefits do not have cash value unless expressly stated.
Communications
Iron Ladder can send communications necessary to operate your account, including:
* Password resets. * Security messages. * Policy updates. * Moderation outcomes. * Subscription-related messages. * Other necessary Service communications.
Promotional or product-news communications are subject to the choices described in the Privacy Policy.
Third-Party Services
Iron Ladder relies on third parties for portions of the Service.
Third parties can include providers of:
* Hosting. * Data storage. * Email. * SMS. * Artificial intelligence. * Push notifications. * Subscription processing. * Apple platform and device-to-device services. * Other infrastructure.
Third parties have their own systems, terms, and technical availability.
Iron Ladder does not guarantee uninterrupted operation of a third-party service.
Copyright Complaints
If you believe User Content infringes copyright that you own or are authorized to enforce, contact support@ironladderapp.com.
A copyright complaint should include:
* Identification of the copyrighted work. * Identification of the allegedly infringing content. * Information sufficient to locate the content. * Your contact information. * A statement of your good-faith belief that the use is unauthorized. * A statement that the information supplied is accurate and that you are authorized to act. * Your physical or electronic signature.
Iron Ladder can remove or disable access to allegedly infringing content and can terminate repeat infringers where appropriate.
Iron Ladder can implement additional notice-and-counter-notice procedures required by applicable copyright law.
Feedback
If you voluntarily submit ideas, suggestions, feature requests, designs, concepts, or other feedback concerning Iron Ladder, you grant Iron Ladder LLC a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use and commercialize the feedback without compensation or restriction.
Do not submit confidential information as feedback.
Service Availability
Iron Ladder can change over time.
Features can be:
* Added. * Modified. * Restricted. * Replaced. * Temporarily unavailable. * Discontinued.
We do not guarantee:
* Uninterrupted availability. * Error-free operation. * Permanent availability of a feature. * Compatibility with every device. * Perfect synchronization. * Permanent retention of every item of information. * That every bug will be corrected.
Where required by applicable law, appropriate notice is provided before material changes to paid services.
Suspension And Termination
You can stop using Iron Ladder at any time.
You can delete your account using:
Settings > Delete Account
Iron Ladder can suspend, restrict, or terminate an account where we reasonably believe:
* These Terms have been violated. * The account is fraudulent. * The account has been compromised. * You create a safety risk. * The account is being used for abuse. * Legal requirements require action. * Continuing to provide access would create a material security, operational, or legal risk.
Immediate action can be taken where user safety, child safety, security, fraud, evidence preservation, or legal compliance requires it.
Sections intended by their nature to survive termination survive.
Disclaimer Of Warranties
To the fullest extent permitted by applicable law, Iron Ladder is provided “as is” and “as available.”
Iron Ladder LLC and its members, managers, affiliates, contractors, licensors, and service providers disclaim warranties not expressly required by law, including implied warranties of:
* Merchantability. * Fitness for a particular purpose. * Non-infringement. * Accuracy. * Availability. * Reliability.
We do not guarantee that:
* Iron Ladder will meet every requirement. * Every calculation will be correct. * AI results will be correct. * GPS or route information will always be accurate. * Every user will behave appropriately. * Every objectionable post will be detected. * No data will ever be lost. * The Service will always be available. * Any specific fitness result will occur.
Rights that cannot lawfully be disclaimed remain unaffected.
Limitation Of Liability
To the fullest extent permitted by applicable law, Iron Ladder LLC and its members, managers, affiliates, contractors, licensors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages arising from or relating to use of the Service.
This includes, where legally permissible, losses arising from:
* Fitness activity selected or performed by you. * Outdoor routes or GPS information. * Reliance on AI output. * Reliance on nutrition or fitness estimates. * Reliance on another user. * User Content. * Third-party trainers, gyms, businesses, or services. * Service interruptions. * Data loss. * Device or network failures. * Unauthorized account access not caused by Iron Ladder’s violation of applicable law. * Lost profits, revenue, opportunities, goodwill, or business.
To the fullest extent permitted by law, the aggregate liability of Iron Ladder LLC and the other Iron Ladder parties for claims arising out of or relating to the Service will not exceed the greater of:
* The amount you paid for Iron Ladder during the 12 months immediately preceding the event giving rise to the claim. * $100 USD.
These limitations apply regardless of the theory of liability.
Nothing in these Terms excludes or limits liability where doing so is prohibited by law, including liability that cannot legally be excluded for fraud, intentional misconduct, gross negligence, or certain personal injury claims.
Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Iron Ladder LLC and its members, managers, affiliates, contractors, licensors, and service providers from claims, damages, losses, liabilities, penalties, costs, and reasonable legal expenses arising from:
* Your User Content. * Your violation of these Terms. * Your unlawful conduct. * Your violation of another person’s rights. * Your fraud or misconduct. * Services, training, products, or advice you provide to another person. * False claims about your credentials, identity, sponsorships, or affiliations.
This obligation does not require you to indemnify Iron Ladder for conduct for which applicable law prohibits indemnification.
Informal Dispute Resolution
Before commencing arbitration or a lawsuit, you and Iron Ladder LLC agree to attempt to resolve the dispute informally.
The complaining party must provide a written Notice of Dispute containing:
* The complaining party’s name. * The account email, if applicable. * A description of the dispute. * Relevant supporting information. * The relief requested.
Notices to Iron Ladder LLC must be sent to support@ironladderapp.com with the subject “Legal Notice of Dispute.”
The parties will attempt in good faith to resolve the dispute for 60 days after a complete Notice of Dispute is received.
This section does not prevent either party from seeking urgent temporary relief where necessary to prevent immediate and irreparable harm.
Binding Individual Arbitration For United States Users
This section applies to users in the United States to the fullest extent permitted by law.
Except for matters expressly excluded below, disputes arising out of or relating to Iron Ladder, these Terms, the Privacy Policy, subscriptions, communications, your account, or your relationship with Iron Ladder LLC will be resolved through binding individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
Arbitration will:
* Be conducted by a neutral arbitrator. * Be conducted on an individual basis. * Permit legally available individual remedies. * Be conducted remotely, through written submissions, or in a reasonably convenient location as permitted by the applicable rules. * Allocate arbitration fees according to the applicable AAA Consumer Arbitration Rules and applicable law.
Nothing in this section prevents either party from:
* Bringing an eligible individual claim in small-claims court. * Seeking temporary injunctive relief involving unauthorized access, security threats, or intellectual-property misuse. * Pursuing a claim that applicable law expressly prohibits from being arbitrated.
If AAA declines to administer a dispute because Iron Ladder LLC fails to comply with requirements applicable to its consumer arbitration program, either party can pursue the dispute in a court of competent jurisdiction.
Jury Trial And Class Action Waiver
To the fullest extent permitted by law:
* You and Iron Ladder LLC waive the right to trial by jury for disputes subject to arbitration. * Claims must be pursued on an individual basis. * Neither party can seek to have an arbitrable dispute heard as a class, collective, consolidated, representative, or private-attorney-general action. * The arbitrator can award relief only to the individual party seeking relief and only to the extent necessary to resolve that individual claim.
If applicable law makes a particular claim or remedy non-waivable, that claim or remedy is treated as required by applicable law without invalidating the remainder of this section where legally permitted.
Arbitration Opt-Out
You can opt out of the arbitration and class-action-waiver provisions.
To opt out, send an email to support@ironladderapp.com within 30 days after you first accept the version of these Terms containing the arbitration agreement.
Your email must include:
* Your full legal name. * The email address associated with your Iron Ladder account. * A clear statement that you opt out of the Iron Ladder arbitration agreement.
Opting out will not affect your ability to use Iron Ladder.
Governing Law
Except to the extent preempted by federal law or overridden by mandatory consumer law, these Terms are governed by the laws of the State of New York without regard to conflict-of-law rules.
For disputes not required to be arbitrated, you and Iron Ladder LLC consent to jurisdiction in the appropriate state or federal courts located in Suffolk County, New York, except where applicable consumer law gives you a non-waivable right to bring a proceeding elsewhere.
Nothing in these Terms deprives you of mandatory consumer protections that cannot lawfully be waived.
International Users
Iron Ladder can be accessible in multiple countries.
Availability does not mean that every Service feature is appropriate or legally available in every jurisdiction.
We can restrict access, features, subscriptions, content, or functionality in particular locations when reasonably necessary.
Mandatory consumer rights in your country remain applicable where they cannot lawfully be waived by contract.
Apple App Store Terms
If you downloaded Iron Ladder through Apple’s App Store:
* These Terms are between you and Iron Ladder LLC, not Apple. * Iron Ladder LLC, not Apple, is responsible for Iron Ladder and its content. * Your license is a non-transferable license to use the application on Apple-branded products you own or control as permitted by Apple’s applicable Usage Rules. * Apple has no obligation to provide maintenance or support for Iron Ladder. * Where a legally required warranty applies, and Iron Ladder fails to conform to it, you can notify Apple, and Apple can refund the purchase price paid for the application, if any, as applicable. * To the maximum extent permitted by law, Apple has no other warranty obligation concerning Iron Ladder. * Iron Ladder LLC, not Apple, is responsible for claims relating to Iron Ladder, including product-liability, legal-compliance, privacy, and consumer-protection claims. * Iron Ladder LLC, not Apple, is responsible for investigating and resolving claims that Iron Ladder infringes third-party intellectual-property rights. * You must comply with applicable third-party terms while using Iron Ladder. * Apple and its subsidiaries are third-party beneficiaries of these Terms and can enforce applicable provisions following your acceptance.
Assignment
You may not assign your rights under these Terms without our prior written consent.
Iron Ladder LLC can assign these Terms to:
* An affiliate. * A purchaser. * A successor. * An entity involved in an acquisition, merger, financing, reorganization, or transfer of substantially all relevant assets or operations.
If the operation of Iron Ladder is transferred to another legal entity, applicable legal documents will be updated as required.
Changes To These Terms
We can update these Terms to reflect changes to:
* Iron Ladder. * Features. * Data practices. * Legal requirements. * Security practices. * Business structure. * Third-party services.
When a material change requires notice or renewed acceptance, Iron Ladder LLC provides it through an appropriate method.
The current Terms display their effective date.
General Provisions
These Terms and incorporated policies constitute the agreement concerning your use of Iron Ladder.
Additional rules include:
* Failure to enforce a provision does not waive it. * If a provision is unenforceable, it is modified or severed to the minimum extent necessary while the remaining provisions continue. * Headings are for convenience. * “Including” means including without limitation. * Electronic acceptance can constitute legally binding acceptance where permitted by law. * These Terms do not create an employment, partnership, agency, joint-venture, fiduciary, medical, or professional relationship.
